  • the Services will be uninterrupted, secure, or error-free;
  • the Services or servers are free of viruses or harmful components;
  • the information provided will be accurate, complete, or current;
  • any defects will be corrected.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CKUPA AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CKUPA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED USD $100 OR THE AMOUNT YOU PAID TO CKUPA IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless CKUPA and its affiliates, service providers, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, judgments, awards, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use or misuse of the Services;
  • your violation of these Terms;
  • your violation of any law or regulation;
  • your infringement or violation of the rights of any third party;
  • any Submission or content you provide.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in such defense.

15. Dispute Resolution

If a dispute cannot be resolved informally, any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Texas, unless otherwise required by applicable law.

To the fullest extent permitted by law, you agree that any claim will be brought only on an individual basis and not as part of a class, collective, consolidated, or representative action.

If any part of this dispute resolution provision is found unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law.

16. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

17. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18. Entire Agreement

These Terms, together with our Privacy Policy, Affiliate Disclosure, and any additional terms that may apply to specific features or services, constitute the entire agreement between you and CKUPA regarding the Services and supersede any prior or contemporaneous understandings relating to the subject matter.
